Reseller Hosting Agreement
This Reseller Hosting Agreement governs the use of HostPowr reseller hosting services, where you ("Reseller") purchase hosting resources from HostPowr to provide hosting services to your own customers ("End Users"). By purchasing or using a reseller plan, you agree to this Agreement in addition to our Terms of Service, Acceptable Use Policy, and other policies. This Agreement applies specifically to reseller accounts.
1. The Reseller Relationship
- 1.1 HostPowr provides hosting infrastructure and resources to you. You resell those resources to your own End Users under your own brand and pricing.
- 1.2 Our contractual relationship is with you, the Reseller, only. We have no direct relationship or contract with your End Users.
- 1.3 You act as an independent business. Nothing in this Agreement creates a partnership, agency, joint venture, or employment relationship between you and HostPowr.
- 1.4 You may not represent yourself as HostPowr, or as an agent, employee, or official partner of HostPowr, unless expressly authorized in writing.
2. Your Responsibilities to Your End Users
- 2.1 You are solely responsible for your relationship with your End Users, including: sales, billing, and payment collection; customer support and service; your own terms, policies, and pricing; managing accounts you create.
- 2.2 You must provide your own first-line support to your End Users. HostPowr supports you, the Reseller — not your End Users directly.
- 2.3 You are responsible for ensuring your End Users comply with our Acceptable Use Policy and all applicable laws.
3. Responsibility for End User Content & Conduct
- 3.1 You are fully responsible for all content, activity, and conduct of your End Users on the resources you resell.
- 3.2 Violations of our Acceptable Use Policy by any of your End Users are treated as your responsibility. You must enforce acceptable use among your End Users.
- 3.3 We may suspend or terminate any account — including an End User account or your entire reseller account — for violations, abuse, illegal content, or resource abuse, as set out in our AUP and Terms.
- 3.4 You agree to act promptly on any abuse, legal, or policy issue we report to you regarding your End Users.
4. Account & Resource Limits
- 4.1 Your reseller plan includes defined resource limits (storage, bandwidth, accounts, etc.) as described at purchase.
- 4.2 You may allocate resources among your End Users within your plan's overall limits.
- 4.3 Exceeding your plan limits may require an upgrade and is subject to our Fair Use and Acceptable Use policies.
- 4.4 You are responsible for managing your own resource allocation and monitoring your End Users' usage.
5. Billing & Payment
- 5.1 You pay HostPowr for your reseller plan according to your chosen billing cycle, processed through Paddle.com.
- 5.2 You set and collect your own prices from your End Users. Your pricing and billing arrangements with End Users are entirely your own.
- 5.3 You remain liable for your HostPowr fees regardless of whether your End Users pay you.
- 5.4 Non-payment may result in suspension or termination of your reseller account, which affects all your End Users.
6. Support Boundaries
- 6.1 HostPowr provides technical support to you for server- and platform-level issues.
- 6.2 We do not provide support directly to your End Users, and we are not responsible for the support you provide to them.
- 6.3 You are responsible for the quality and delivery of support to your own customers.
7. Data & Backups
- 7.1 You and your End Users are responsible for maintaining independent backups, as set out in our Backup Policy.
- 7.2 You are responsible for the personal data your End Users store. Where we process personal data on your behalf, our Data Processing Agreement applies, and you remain responsible for your End Users' data obligations toward them.
- 7.3 On termination of your reseller account, all associated data and End User accounts may be permanently deleted.
8. Suspension & Termination
- 8.1 We may suspend or terminate your reseller account for breach of this Agreement, our Terms, or our AUP, for non-payment, or for abuse — by you or your End Users.
- 8.2 Termination of your reseller account will affect all your End Users. You are responsible for communicating with and managing your End Users in that event.
- 8.3 You may cancel your reseller account in line with our Cancellation Policy. No pro-rata refunds apply.
9. Your Indemnification of HostPowr
You agree to indemnify and hold HostPowr and BizPowr harmless from any claims, damages, losses, or costs (including legal fees) arising from:
- Your End Users' content, conduct, or use of the services
- Your relationship, contracts, or disputes with your End Users
- Your breach of this Agreement or our policies
- Any claim brought against us by your End Users
This is a core term: because you stand between us and your End Users, you carry responsibility for them.
10. No Liability for Your Business Losses
- 10.1 We are not responsible for your business operations, revenue, customer relationships, or any losses arising from your reseller business.
- 10.2 Our liability to you is limited as set out in our Terms of Service — to the amount you paid us for the reseller service in the three (3) months preceding a claim.
- 10.3 We are not liable for any losses you or your End Users suffer beyond this limit.
11. Branding & White-Label
- 11.1 Where white-label features are provided, you may present hosting under your own brand.
- 11.2 You may not use HostPowr or BizPowr trademarks, names, or branding without written permission.
- 11.3 You are responsible for ensuring your branding and marketing are accurate and not misleading to your End Users.
12. Changes
We may update this Agreement from time to time. The current version applies to your ongoing use of reseller services.
